Chapter Constitution

 

ARTICLE I. NAME

The name of this organization shall be the Maine Chapter, Healthcare Financial Management Association. For the purpose of identification and brevity, the Maine Chapter shall hereinafter be referred to as the "Chapter" and the Healthcare Financial Management Association shall hereinafter be referred to as "HFMA".

ARTICLE II. OBJECTIVES

The objectives of the Maine Chapter, HFMA, shall be identical with those of HFMA. The HFMA is an association of individuals who are organized to improve financial management of hospitals and allied patient care institutions and:

  1. To foster and increase knowledge of and proficiency in financial management;
  2. To conduct and participate in educational programs and activities concerning financial management;
  3. To provide media for the interchange of ideas and dissemination of material relative to financial management;
  4. To bring about closer cooperation among individuals of varying disciplines in financial management;
  5. To develop curricula and support material for use by educational institutions relative to areas of financial management;
  6. To cooperate with hospital and allied patient care institutions and agencies, and their related association, governmental agencies and other interested groups in matters pertaining to financial management;
  7. To establish standards of performance for individuals and institutions in various areas of financial management;
  8. To do research in areas of financial management to help achieve these objectives.

ARTICLE III. MEMBERSHIP

Membership in the Chapter shall be open to all individuals who qualify as members of HFMA and fall under the Chapter's jurisdiction. Classes of membership within the Chapter and qualifications for membership in those classes shall be the same as those specified by HFMA.

ARTICLE IV. ACTIVITIES

  1. The activities of the Chapter shall be subject to such regulations as the activities,
    membership, organization, procedures, and financial relationship as the Board of Directors
    of HFMA may prescribe.
  2. No dividends or pecuniary profits shall ever be declared or paid to the membership of
    the Chapter or to any other person(s) or entities.

ARTICLE V. MANAGEMENT

The affairs of the Chapter shall be managed by the duly elected Chapter Officers and Directors. The powers and duties of the Officers and of the Board of Directors shall be defined in the Chapter Bylaws.

ARTICLE VI. MEETINGS

Meetings of the Chapter membership of the Board of Directors shall be held in accordance with the Chapter's Bylaws.

ARTICLE VII. TERMINATION OF CHAPTER'S EXISTENCE

If for any reason the Chapter ceases to function, as for example in the event of its liquidation or dissolution, or the revocation of its Charter for due cause by HFMA, all funds in the Chapter Treasury and all Chapter records shall automatically become the property of HFMA and shall be forwarded to HFMA's current legal address.

ARTICLE VIII. VOTING

Unless otherwise provided in the Chapter's Bylaws or specified by HFMA, i.e. student members cannot vote, all members of the Chapter, regardless of membership classification shall have a vote in all matters requiring a vote of the Chapter Membership.

ARTICLE IX. BYLAWS

  1. The Bylaws of the Chapter shall be admitted and taken to be its law subject to this Constitution.
  2. The Bylaws may be amended in the following manner:
    1. A Resolution to Amend the Bylaws setting forth the full text of the proposed amendment shall be approved by the Board of Directors of the Chapter and be submitted to HFMA for approval by or on behalf of its Board of Directors.
    2. Once approved, all amendments to Chapter Bylaws shall be put to a vote of the Chapter membership. The Secretary of the Chapter shall mail a copy of the Resolution along with a ballot to each member calling for a vote on the proposed amendment. All amendments to Chapter Bylaws shall be adopted when a vote calling for their adoption is rendered by a majority of the votes entitled to be cast by Chapter members.
    3. Upon adoption of any amendment by the Chapter membership, the Bylaws shall be immediately revised incorporating said amendment(s) and a copy of the Bylaws shall be transmitted by the Chairperson of the Chapter Bylaws Committee to HFMA. Amendments to the Bylaws shall become effective immediately, unless otherwise
      provided by the text of the amendment.
    4. The Chapter Bylaws Committee with consent of the Chapter's Board of Directors shall amend the Chapter's Bylaws should it be required to do so because of amendments to HFMA's Bylaws. Such amendments will not require a vote of the membership, but will be effective immediately or upon a date as specified by HFMA.

ARTICLE X. AMENDMENTS TO THE CONSTITUTION

  1. A Resolution to Amend the Constitution, setting forth the full text of the proposed amendment, shall be approved by the Chapter Board of Directors and shall be submitted to HFMA for approval.
  2. Once approved, all amendments to Chapter's Constitution shall be put to a vote of the Chapter membership. The Secretary of the Chapter shall mail a copy of the Resolution along with a ballot to each member calling for a vote on the proposed amendments.
  3. Amendments to the Constitution shall be adopted upon the casting of ballots approving the adoption of the proposed amendments, by two-thirds (2/3) of Chapter members eligible to vote.
  4. Upon adoption of any amendment by the Chapter membership, the Constitution shall be immediately revised incorporating said amendment(s) and copy of the Constitution shall be submitted by the Chapter Bylaws Chairperson to HFMA. Amendments to the Constitution shall become effective immediately, unless otherwise provided in the text of the amendment.
  5. The Chapter Bylaws Committee, with consent of the Chapter's Board of Directors, shall amend the Chapter's Constitution should it be required to do so because of revisions to HFMA's Constitution. Such amendments will not require a vote of the membership, but will be effective immediately or upon a date as specified by HFMA.
